Basically if you dont care about your current theme and just want to use a new WP-1.5 theme it is cake, pretty much just remove everything, replace it with the new version, and run wp-admin/upgrade.php ... there is a walkthrough <a href="http://codex.wordpress.org/Upgrade_1.2_to_1.5" rel="nofollow">here</a> that details those three steps and also goes into detail on converting a 1.2 theme to work with 1.5.
